Greetings and welcome to Credi! Our goal at Credi is to establish a system that incentivizes individuals in India with high levels of trustworthiness and Creditworthiness, in hopes of inspiring others to follow in their footsteps.

Eligibility

By registering with CREDI and accessing the CREDI Services, you are representing the following:

a. You are 18 years of age or older;

b. You are capable of entering into a legally binding agreement; and

c. You are not barred or otherwise legally prohibited from accessing or using the CREDI App and CREDI Services.

You agree to seek your Credit score from Credit Information Companies using the CREDI App and disclose the said Credit score to CREDI. CREDI may use the said Credit score to determine your eligibility for access to various CREDI Services. CREDI may at its sole discretion prevent Users from accessing the CREDI App and the CREDI Platforms in part or in whole if the Credit score of a User is lower than a minimum entry threshold set by CREDI from time to time.

If you allow anyone to use your account, including individuals under 18 years of age, you will still be responsible for ensuring that such individuals comply with these Terms of Use. You will be responsible for all actions these individuals take in and/or through your account. You also acknowledge that CREDI does not have the responsibility of ensuring that You meet the aforesaid eligibility requirements.

Please read the terms and conditions carefully before registering, accessing or using the CREDI Services (defined below) offered through the Credi.in website, CREDI App (defined below) or through applications or websites of CREDI Group Entities (defined below). These terms and conditions are a legal contract ("Terms of Use") between You and Alpha Technologies Private Limited (“CREDI”) having its registered office at E-48/4, Okhla Phase-2, New Delhi-110019. You agree and acknowledge that you have read the terms and conditions set forth below. If you do not agree to these Terms of Use or do not wish to be bound by these Terms of Use, you may not use the CREDI Services and/or immediately terminate the Services and/or uninstall the CREDI App.

1. Definitions

“CREDI”, “Alpha Technologies” “We”, “Us”, “Our” means CREDI and CREDI Group Entities.

“You”, “Yours”, “Yourself”, “User” means any prospective user, or registered user of CREDI and CREDI Group Entities, including but not limited to customers and Commercial Partners.

“CREDI App” means mobile application(s), hosted by CREDI and CREDI Group Entities for providing services to the Users, and Commercial Partners.

“CREDI Group Entities” means subsidiaries and affiliates of CREDI.

‘CREDI Platform” means any platform owned/subscribed/used by CREDI or CREDI Group Entities including but not limited to the CREDI Website, the CREDI App, other mobile applications, devices, URLs/links, notifications, chatbots, CREDI’s social media channels or any other communication medium or mechanism used by CREDI or CREDI Group Entities to provide services to the Users.

“CREDI Website” means https://www.credi.in/ or any other website hosted or registered by CREDI or CREDI Group Entities.

“CREDI Services” means and include all services offered / to be offered by CREDI, and CREDI Group Entities either directly or through its Commercial Partners including but not limited to CREDI Plus, Credit Card Bill Payment Services, CREDI Pay Services, Rewards and CREDI Store Services; and in relation to Merchants, also includes Payment Aggregator Services.

“Commercial Partner” means any individual or entity with whom CREDI or CREDI Group Entities have a contractual relationship and includes but is not limited to entities offering rewards on CREDI App, Sellers, Lenders, CREDI Pay Merchants etc.

“Sellers” means entities offering goods for sale to the Users via CREDI Store.

“Terms of use” / “Terms and Conditions” are interchangeably used and mean these Terms of Service including the Supplemental Terms.

2. Your Use of CREDI

You agree that:

a. Unless otherwise permitted by CREDI in writing, You may only possess one account.

b. Your use of the App shall not violate any applicable law or regulation.

c. Your use of the CREDI App, and CREDI Platforms shall be only for personal purposes.

d. All registration information you submit is truthful, complete and accurate and you agree to maintain accurate, complete and up-to-date account information in your account.

e. You are responsible for all activity that occurs under your account.

f. You are responsible for maintaining the confidentiality of the access Credientials of your account and are fully responsible for all activities that occur under your account. You agree to immediately notify CREDI of any unauthorized use of your passcode or account or any other breach of security.

g. You agree that You are aware and responsible for all transactions taking place through your Account. You shall continue to be responsible for the transactions in your account, if you knowingly or negligently (i) grant any other person access to your CREDI App, (ii) permit them to transact on Your account, or (iii) transact on any other person’s behalf or directions; whether by sharing one-time passwords or in any other manner.

h. You shall not indulge in decompiling, reverse engineering, disassembling content, removing any intellectual property right associated with the CREDI App, including our copyright, trademarks, trade secrets, designs, and patents, or other proprietary notices.

i. You shall not access or use the CREDI App in any manner that (i) may be harmful to the operation of the CREDI App or its content; (ii) may be unlawful; (iii) maybe harmful to CREDI or to any other User; (iv) may hinder the other User’s enjoyment of the CREDI App; or (v) to defraud other Users, CREDI or any Commercial Partner.

j. You shall not post, distribute, or otherwise transmit or make available any software or other computer files that contain a virus, other harmful component or malicious content, or otherwise impair or damage the CREDI App or any connected network, or otherwise interfere with any person or entity's use or enjoyment of the CREDI App.

k. You shall not delete or modify any content of the CREDI App.

l. Your use of the CREDI App shall indicate that you have provided consent to automatically receive updates such as bug fixes, patches, enhanced functions, missing plug-ins and new versions (collectively, ‘Updates’), for the purpose of effective delivery of the CREDI Services. Please note that your continued use of the CREDI App following such Updates would mean deemed acceptance by you of the same.

m. You understand and accept that not all products, services and rewards offered on the CREDI App are available in all geographic areas and you may not be eligible for all the products, services and rewards offered by CREDI on the CREDI App or other CREDI Platforms. CREDI reserves the right to determine the availability and eligibility for any product, services and rewards offered on the CREDI App or any CREDI Platform.

n. You shall request CREDI, to block the Account and change the passcode immediately for the account, if your device has been lost or stolen.

3. Supplemental Terms and delivery of services through CREDI Group Entities

You agree and acknowledge that several features including but not limited to CREDI Plus, CREDI Cash, CREDI Pay, Credit Card Bill Payments and Rewards, are subject to certain supplemental Terms of Use set out below. Your usage of any features that have a set of Supplemental Terms of Use is deemed to be acceptance of the said Supplemental Terms of Use. You further agree that any CREDI Services may be provided to You either directly by CREDI or by any CREDI Group Entity and in particular, any payment to you or made by you may be routed through Credi PayTech Solutions Private Limited (“Payment Aggregator”).

4. Violation of Terms of Use / Suspicious Activity

If We believe that you have violated any of the conditions as mentioned under these Terms of Use, our Privacy Policy, Supplemental Terms applicable to certain services or any agreements consented to via the CREDI App, we reserve the right to suspend your access to the CREDI App and/or delete your account without prior notice to You. If We have reason to believe that there is suspicious or unusual activity being carried out through your account, we may temporarily or permanently suspend your access to the CREDI Services. If we suspect that any feature, offer or reward promotion is being availed by You in a manner (i) that is disingenuous (for example: placing orders without intending to take delivery or intending to subsequently cancel all or substantially all of them); (ii) that it is not intended to be availed; (iii) that purports to artificially increase (or decrease) your transaction volume or usage of the App (for example: paying rent or Credit card bills by breaking them down into numerous smaller transactions); (iv) that is designed to deliberately side step fair use restrictions; (v) that may result in you gaining an undue, unfair or unethical advantage over other Users or Commercial Partners; (vi) that is intended to cause losses or other harm to Commercial Partners, CREDI reserves the right to reverse the relevant transaction, suspend the account or restrict you from using the App in its entirety or any specific feature(s) thereof. You may reach out to the CREDI support team to assist you with any query or question arising as a result of the aforementioned suspension/ deletion.

5. Termination / Deletion of Your Account

You may end your legal agreement with CREDI at any time by deactivating your account and discontinuing the use of the CREDI Services. We provide all our Users an option through which a User may request archive of a specific card stored on his/her account or deletion/deactivation of the complete account through the support section on the CREDI App.

Following a request for deletion, or termination of account by CREDI, We consider the agreement to be terminated and take appropriate steps. Provided however, CREDI may continue to maintain transaction records for record keeping purposes and/or regulatory reasons. Deletion of the account or Termination also does not terminate Your obligations undertaken prior to deletion or termination of the account including but not limited to the obligation to repay any loan or Credit line availed by You. CREDI may continue to retain a record of your transactions made on the CREDI App for regulatory and archival purposes.

6. Fees

You are responsible for any fees that may be applicable to certain transactions or use of the CREDI App; where you will be notified of such applicable fees, prior to the completion of any transaction. By clicking ‘Proceed’ / ‘Submit’ / ‘Continue’ or any other similar button on the CREDI App, You shall be deemed to have consented to the fees displayed on the said page.

7. Loyalty Points

CREDI offers its users loyalty points in various forms for their regular and continuous use of the CREDI App. These loyalty points are provided for performing various actions on the CREDI App. Each user who makes his/her Credit card payments through the CREDI App earns loyalty points (“CREDI Rewards” or “Rewards”). Users are issued Coins at a one-to-one conversion i.e. every rupee paid towards Credit card payments equals to one Coin received by the User. Similarly, each user can also earn loyalty points (“CREDI Vouchers” or “Vouchers”) for referring friends to the CREDI App. A user may get rewarded upto 10 (ten) Rewards for each successful referral. These loyalty points including CREDI Vouchers or CREDI rewards are rewarded purely for the regular use of the CREDI App and the CREDI App does not permit any purchase or accrual of these loyalty points in any other way. These loyalty points may be redeemed by Users to participate in various rewards/offers that are run by the CREDI App for all users from time to time.

CREDI reserves the right, at its sole discretion, to change the mode of the accrual of one or any of these types of loyalty points, including the number of such loyalty points received in proportion to the User’s activities. Further, CREDI reserves the right to disqualify any User, who does not meet the offer requirements or for any other reason including but not limited to any misuse of the offer or fraud or suspicious transaction/activity or under any legal requirement or applicable rules and regulations, from receiving any loyalty points. CREDI also reserves the right to discontinue or change or issue any new form of loyalty points offered at any time, at its sole discretion. CREDI may also at its discretion specify an expiry period for the CREDI Rewards and CREDI Vouchers.

8. Privacy

We collect, hold, use and transfer your personal data in accordance with our Privacy Policy. By agreeing to the Terms of Use, you also hereby agree to our Privacy Policy, which may be updated and/or modified by us from time to time. You understand and agree that, to the extent permitted by applicable law, any data provided by you in connection with the CREDI Services may be shared with our subsidiaries, affiliates or partners, and/ or used by us for enhancing the CREDI Services, including but not limited to creating new products. Please refer to the Privacy Policy for further clarity on the subject.

9. Disclaimer

The CREDI Services, including all content, software, functions, material, and information made available or accessible through the CREDI Platform are provided “as is”. CREDI, CREDI Group Entities and their respective agents, co-branders or partners, make no representation and warranty of any kind for the content, software, functions, material, and information available/accessible through the Services.

CREDI does not warrant that the functions contained in content, information and materials on the CREDI App, including, without limitation any third-party sites or services linked to the CREDI App or any CREDI Platform will be uninterrupted, timely or error-free, that the defects will be rectified, or that the CREDI App or the servers that make such content, information, and materials available are free of viruses or other harmful components.

Further, You understand that a payment transaction is solely between the User who uses the CREDI Services to make his payment (“Sender”) and the User who receives such payment from the Sender (“Recipient”) and that CREDI does not provide any guarantees or warranties to any User with respect any service, goods, or delivery level commitment provided by the Recipient. CREDI cannot assure that Commercial Partners or other Users are or will be complying with the foregoing Terms of Use or any other provisions mentioned here. You assume all risk of harm or injury resulting from any such lack of compliance by any other User or Commercial Partner. You should ensure that you have undertaken adequate due diligence prior to transferring payments using the CREDI App.

10. Limitation of Liability

In no event shall CREDI, CREDI Group Entities, their officers, shareholders, subsidiaries, associate companies, directors, employees and agents, partners, co-branders, licensors, licensees, consultants, or contractors be liable to you or any third party for any special, incidental, indirect, consequential or punitive damages or losses whatsoever, or damages for loss of data or profits, goodwill, and/ or other intangible loss, whether or not foreseeable and regardless of whether CREDI has been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty, negligence or other tortious action, or any other claim arising out of or in connection with your use of, or access to, the CREDI Platforms, CREDI App or CREDI Services.

In no event shall CREDI and CREDI Group Entities’ total cumulative liability to You in connection with the CREDI Services for all damages, losses and causes of action (whether arising under contract or otherwise), arising from or relating to Your use of the CREDI App and CREDI Platforms or arising from these Terms of Use exceed INR 10,000 (Indian Rupees ten thousand only).

11. Indemnity

You agree to defend, indemnify and hold harmless CREDI, CREDI Group Entities, its officers, owners, directors, employees and agents, partners, co-branders, licensors, licensees, consultants, contractors and other applicable third parties (collectively ‘Indemnified Parties’) from and against any and all claims, demands, damages, obligations, losses, liabilities, cause of action, costs or debt, and expenses (including any legal fees) arising from:

a. your use of and access to the CREDI App and the CREDI Platforms;

b. your violation / breach of any of these Terms of Use;

c. your violation of any third party right, including any intellectual property right or privacy right;

d. the committing of any of the prohibited activities as stated herein;

e. your failure to be in compliance with applicable law, including tax laws and cyber security laws; or

f. any claim that your use of the CREDI App caused damage to a third party.

12. Disputes & Arbitration

In consideration for CREDI granting you access to and use of the CREDI App, CREDI Platforms and CREDI Services, you agree that in case of any dispute between You and any Commercial Partner or other User or recipient of the funds transferred by You, CREDI shall not be a party to the same. While CREDI is not obligated to mediate or resolve disputes, CREDI will assist Users in communicating with each other regarding a dispute. CREDI may at its own discretion however, without having any obligation to do so, assist in resolving the disputes between the Users and the Commercial Partners.

Except as otherwise set forth in these Terms of Use, these Terms of Use shall be exclusively governed by and construed in accordance with the laws of India. Any dispute, conflict, claim or controversy arising out of or broadly in connection with or relating to the CREDI Services or these Terms, including those relating to its validity, its construction or its enforceability, but excluding those provisions where it has been specified that CREDI’s decision shall be final, (any “Dispute”) shall be, if initiated by the User, first raised by the user to support@credi.in If such Dispute has not been settled within sixty (60) days after the User reaches out to the aforementioned email IDs, such Dispute can be referred to and shall be exclusively and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (“Act”). Provided however when CREDI raises any dispute, CREDI may directly initiate arbitration in accordance with this clause. The Dispute shall be resolved by one (1) arbitrator to be appointed by CREDI. The place the arbitration shall be New Delhi, India. The language of the arbitration shall be English. The existence and content of the arbitration proceedings, including documents and briefs submitted by the parties, and correspondence, orders and awards issued by the sole arbitrator, shall remain strictly confidential and shall not be disclosed to any third party without the express written consent from the other party unless: (i) the disclosure to the third party is reasonably required in the context of conducting arbitration proceedings; and (ii) the third party agrees unconditionally in writing to be bound by the confidentiality obligation stipulated herein.

13. Use and Protection of Intellectual Property Rights

CREDI App, CREDI Website, CREDI logos and the CREDI Services are protected by copyright, trademarks, patents, trade secret and/or other intellectual property laws. No information, content or material from the CREDI App including, without limitation, all of the page headers, images, illustrations, graphics, audio clips, video clips or text, reports generated, trademarks, tradenames may be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way without Our express written permission. You are hereby given a limited licence to use the CREDI App and the CREDI Platforms, subject to your agreement of these Terms of Use.

CREDI, CREDI Group Entities, and its licensors, if any, are the sole owners of the underlying software and source code associated with the CREDI App and CREDI Platforms as well as any other intellectual property rights of any other nature associated with the CREDI App, CREDI Platforms and their content.

When you upload, submit, store, send or receive content that may include feedback to or through the CREDI App, you give CREDI and CREDI Group Entities a worldwide, perpetual licence to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display and distribute such content. This licence shall not expire even if it is not used by CREDI or CREDI Group Entities. The rights you grant in this licence are for the limited purpose of operating, promoting, and improving the CREDI Services, and to develop new ones. This licence continues even if you stop using the CREDI Services.

14. Tax Liability

You hereby agree to comply with any and all applicable tax laws in connection with your use of the CREDI Services, including without limitation, the reporting and payment of any taxes arising in connection with payments made through the CREDI App, or funds/income received through the CREDI Services. You hereby agree and acknowledge that if and when required by applicable law, CREDI, may deduct tax deducted at source from your winnings/ cashback and/or may require You to submit PAN details before providing you cashback or other winnings.

15. Governing Law and Jurisdiction

The CREDI App, the CREDI Services, all your transactions with the CREDI App, and our relationship shall be governed by the laws of India, without regard to conflict of law principles. You agree that subject to the Disputes & Arbitration Clause above, all claims, differences and disputes which we may have shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India.

16. Assignment

You shall not transfer or assign any of Your rights and obligations arising from these Terms of Use.

You agree and acknowledge that CREDI may assign or transfer its rights and obligations under these Terms of Use in whole or in part, to (i) any other CREDI Group Entity; (ii) an acquirer of CREDI or any CREDI Group Entity or their respective equity interest, business or assets; or (iii) a successor entity resulting from any corporate action including mergers or demergers.

17. General

No joint venture, partnership, employment or agency relationship exists between you, CREDI, CREDI Group Entities or any Third Party as a result of the contract contained in these Terms of Use. If any provision of these Terms of Use is held to be illegal, invalid or unenforceable, in whole or in part, under any law, such provision or part thereof shall to that extent be deemed not to form part of these Terms of Use but the legality, validity and enforceability of the other provisions in these Terms of Use shall not be affected. In that event, CREDI shall replace the illegal, invalid or unenforceable provision or part thereof with a provision or part thereof that is legal, valid and enforceable and that has, to the greatest extent possible, a similar effect as the illegal, invalid or unenforceable provision or part thereof, given the contents and purpose of these Terms of Use. These Terms of Use (together with any additional terms displayed in specific sections of the CREDI App or CREDI Website) constitute the entire agreement and understanding of the parties with respect to its subject matter and replaces and supersedes all prior or contemporaneous agreements or undertakings regarding such subject matter.

18. Updation

We may amend these Terms of Use at any time by posting an updated version on the CREDI Website. The updated version of these Terms of Use shall supersede the previous version of the Terms of Use and take effect immediately upon posting. You have the right to opt-out of agreeing to these Terms of Use or any future updated version of the Terms of Use, by ceasing to use the CREDI App. However, please be aware that your continued use of the CREDI Services from the launch of any updated Terms of Use would mean deemed acceptance of such updated Terms of Use including any modification thereof. We recommend you to keep checking the Terms of Use often to be familiar with any updates and changes.

Section A: Supplemental Terms for Credit Card Bill Payments

The following terms and conditions (“CREDI CCBP T&Cs”) are specific to the use of the Credit Card Bill Payment (CCBP) feature :

A.1. Personal Use

You may use the CCBP feature only for personal purposes. You are not permitted to offer it to other persons or entities on a commercial basis. You agree not to use the CCBP feature for money laundering, terrorist financing, illicit payments or any other use which is either prohibited by law or is unethical. By making a payment for a Credit Card that does not belong to You, You assume responsibility for the transactions that have taken place through that Credit Card for the cycle the payment is made by You using the Services.

A.2. Credit Card information

You are responsible for all the information you input during your use of the CREDI App including the CCBP feature.

In particular you are responsible for ensuring the correctness of (i) details of the Credit card for which payment is being made; (ii) details of the payment instrument from which the payment is being made; and (iii) the amounts of payment. In the event you input any of these details incorrectly, You will be responsible for the resultant transaction and all charges that result from the same. CREDI may at its own discretion, without having any obligation to do so, assist in reversing such transactions if technically feasible and viable for CREDI.

You agree that Credit card details input for CCBP transactions shall be saved or tokenised to allow the usage of the same Credit card for other CREDI Services.

A.3. Refunds

CREDI shall not be responsible for any payment for an incorrect Credit card account input by You / using Your account. In case, money has been charged to payment instrument and not Credited to Your Credit card within 72 (seventy-two) working hours of your completion of the transaction then You may inform us regarding the same through the customer support section of the CREDI App. We shall investigate such incidents and if it is found that money was indeed charged to your payment instrument without delivery of the payment/service then You will be refunded the money within twenty-one (21) working days (or such other timeline as mandated by applicable law) from the date of receipt of Your query on the CREDI App or over email. All refunds will be Credited to the payment instrument originally used or Specified Refund Account. CREDI may allow You to verify a specific refund account (Specified Refund Account) to which all the refunds for failed may be Credited. CREDI will have the sole discretion to determine the mode of reversal from the above mentioned options, in accordance with applicable laws. However, CREDI disclaims any and all liability, including for refunds, in the event of any error arising from a failure in the applicable bank, card network or any other intermediary Credit card service provider’s systems or networks.

In case a payment has been wrongfully made and Credited to your Credit card account or bank account, CREDI reserves the right to automatically initiate a refund through your bank. You hereby consent to such a refund initiated by CREDI and / or Your bank, at the request of CREDI, to offset any incorrect transaction, Credit or double payment made to your account. Once such transaction is processed, CREDI shall inform you of the same and the corrective action taken by CREDI to refund such payment.

A.4. Limited time offers

CREDI may either directly or in partnership with its Commercial Partners run limited time offers allowing Users to win cashback or other benefits on payment of their Credit card bills. CREDI reserves the right to introduce, withdraw or vary the terms of such offers from time to time. Any cashbacks advertised or displayed on the CREDI App or through other media channels shall be indicative and the cash back may be of the advertised amount or lesser. Any advertisement or cash back amount displayed on the CREDI App shall be deemed to be offering the winners cashback ‘up to’ such amount regardless of whether the word up to is used in such advertisement, display or marketing material on any channel.

Section B: Supplemental Terms for CREDI Plus

The following terms and conditions (“CREDI Plus T&Cs”) are specific to the use of the rent and allied payments, business expense payment sand educational fees payments products introduced by CREDI (“CREDI Plus”). All Users using CREDI Plus shall be deemed to have read, understood and agreed to be bound by these CREDI Plus T&Cs.

B.1. Eligibility

CREDI shall make CREDI Plus available to some or all of CREDI Users at its sole discretion. CREDI may also suspend or discontinue offering CREDI Plus for any CREDI Users at its sole discretion.

B.2. CREDI’s role

a. CREDI Plus allows You to use Your Credit card to make payments to their landlords / apartment complexes / housing societies (in case of Rent Pay), suppliers (in case of business expense payments) and educational institutions (in case of educational fees payment product), collectively referred to hereinafter as Counterparties.

b. When you instruct CREDI to pay, You authorize us and order us to commit your payment (less any applicable fees or other amounts we may communicate and collect from You for providing such Services) to such Counterparty.

c. You acknowledge that the Counterparty may not be a CREDI user and that CREDI has no contractual relationship with the Counterparty. CREDI is not and shall not be deemed to be Your agent or the agent of any Counterparty. Except for CREDI’s limited role in enabling the payment after receiving specific directions from You, CREDI is not involved in any underlying transaction between You, and the Counterparty.

B.3. Indemnification

a. You agree to not hold CREDI responsible and/or liable for any issue or claim arising out for any dispute whatsoever between You and the payment gateway or Your bank or the Counterparty.

b. You shall keep CREDI indemnified and hold CREDI harmless in the case of any third-party claims against CREDI (whether by the Counterparty, payment gateway, bank, any government authority or any other Person) for the payments made or attempted to be made by You (or any other Person through your account) using CREDI Plus.

B.4. Information Input

a. You are responsible for all the information you input during your use of the CREDI App including the CREDI Plus features.

b. In particular you are responsible for ensuring the correctness of (i) details of the Counterparty’s bank account to whom payment is intended to be made; (ii) details of the payment instrument (or selection from the saved Credit cards) using which payment is to be made; and (iii) the amounts of payment. In the event you input any of these details incorrectly, You will be responsible for the resultant transaction and all charges that result from the same. CREDI may at its own discretion, without having any obligation to do so, assist in reversing such transactions if technically feasible and viable for CREDI.

c. CREDI may ask for additional information if required from time to time including but not limited to Counterparty’s permanent account number (PAN), your PAN, rental agreements etc to verify the underlying transactions, and in case you fail to provide such information then you may be unable to use the CREDI Plus features offered by CREDI.

d. In particular, if the rental amount to be paid by You is more than INR 50,000/- (Rupees Fifty Thousand Only), submission of landlord’s PAN is mandatory. Without such information, the payment will not be processed. Further, CREDI may ask for additional documents in case a transaction appears to be suspicious. Failure to provide such documentation within 72 hours may result in your transaction failing and at CREDI’s sole discretion, Your access to CREDI Plus being revoked.

e. You are responsible for ensuring that all the payment details provided by you are accurate.

B.5. Disclaimers

a. Once a payment has been initiated it cannot be reversed and CREDI will not be liable in any way for any loss You suffer as a result of a transaction being carried out in accordance with the instructions issued by You.

b. CREDI shall process the payment only after CREDI has received (i) the payment from your Credit card or other relevant payment instrument; and (ii) any further information requested from You by CREDI. CREDI shall not be responsible for any delay occasioned due to any action or inaction on account of any bank or payment gateway involved in your transaction.

c. CREDI does not guarantee any timelines for payments to the Counterparties. Any timelines mentioned on the CREDI App or other CREDI Platforms are merely indicative in nature and not to be construed as guarantees.

d. While CREDI undertakes its best efforts to process the payment as directed by you at the earliest, CREDI may delay, suspend, or reject a transaction for any payment(s) for any reason, including without limitation if we suspect the transaction poses a financial or security risk, or is unauthorized, or is fraudulent, suspicious, unlawful or in any way in violation of the applicable laws around such transactions or in violation of these CREDI Plus T&Cs, subject to dispute or otherwise unusual.

B.6. Chargebacks

a. The amount of a transaction maybe charged back (‘Chargeback’) if the transaction is (i) disputed by cardholder; (ii) reversed for any reason; (iii) not authorized by cardholder or if CREDI or the issuing bank has reason to believe that it is not authorised; or (iv) is considered unlawful or in breach of these CREDI Plus T&Cs.

b. In case of a Chargeback, You will owe CREDI and will be required to immediately pay CREDI the amount of any Chargeback and any associated fees, fines or penalties as assessed by the payment gateway, bank, card association or processor. You agree to assist CREDI when requested to investigate any of your transactions made using the CREDI App. Your failure in providing timely assistance to CREDI, including without limitation providing documentation, where required within 72 hours, may result in an irreversible Chargeback.

c. Further in such cases your use of CREDI Plus or the entire CREDI App and CREDI Platform maybe blocked for an indefinite period of time as decided by CREDI on a case-to-case basis.

B.7. Prohibited Transactions

a. You agree to use CREDI Plus features only for the intended purposes and not for money laundering, terrorist financing, illicit payments or any other use which is either prohibited by law or is unethical.

b. In particular you also agree not to use the CREDI Plus feature to pay any amount directly or indirectly for the following good / services:

1. Adult goods and services which includes pornography and other sexually suggestive materials (including literature, imagery and other media); escort or prostitution services; Website access and/or website memberships of pornography or illegal sites;

2. Alcohol which includes alcohol or alcoholic beverages such as beer, liquor, wine, or champagne;

3. Body parts which includes organs or other body parts;

4. Bulk marketing tools which includes email lists, software, or other products enabling unsolicited email messages (spam);

5. Cable descramblers and black boxes which includes devices intended to obtain cable and satellite signals for free;

6. Child pornography which includes pornographic materials involving minors;

7. Copyright unlocking devices which includes Mod chips or other devices designed to circumvent copyright protection;

8. Copyrighted media which includes unauthorized copies of books, music, movies, and other licensed or protected materials;

9. Copyrighted software which includes unauthorized copies of software, video games and other licensed or protected materials, including OEM or bundled software;

10. Counterfeit and unauthorized goods which includes replicas or imitations of designer goods; items without a celebrity endorsement that would normally require such an association; fake autographs, counterfeit stamps, and other potentially unauthorized goods;

11. Drugs and drug paraphernalia which includes illegal drugs and drug accessories, including herbal drugs like salvia and magic mushrooms;

12. Drug test circumvention aids which includes drug cleansing shakes, urine test additives, and related items;

13. Endangered species which includes plants, animals or other organisms (including product derivatives) in danger of extinction;

14. Gaming/gambling which includes lottery tickets, sports bets, memberships/ enrolment in online gambling sites, and related content;

15. Government IDs or documents which includes fake IDs, passports, diplomas, and noble titles;

16. Hacking and cracking materials which includes manuals, how-to guides, information, or equipment enabling illegal access to software, servers, website, or other protected property;

17. Illegal goods which includes materials, products, or information promoting illegal goods or enabling illegal acts;

18. Miracle cures which includes unsubstantiated cures, remedies or other items marketed as quick health fixes;

19. Offensive goods which includes literature, products or other materials that:

20. Defame or slander any person or groups of people based on race, ethnicity, national origin, religion, sex, or other factors;

21. Encourage or incite violent acts;

22. Promote intolerance or hatred.

23. Offensive goods, crime which includes crime scene photos or items, such as personal belongings, associated with criminals;

24. Pyrotechnic devices, combustibles, corrosives and hazardous materials which includes explosives and related goods; toxic, flammable, and radioactive materials and substances;

25. Regulated goods which includes air bags; batteries containing mercury; Freon or similar substances/refrigerants; chemical/industrial solvents; government uniforms; car titles; license plates; police badges and law enforcement equipment; lock-picking devices; pesticides; postage meters; recalled items; slot machines; surveillance equipment; goods regulated by government or other agency specifications;

26. Securities which includes government bonds or related financial products;

27. Tobacco and cigarettes which includes cigarettes, cigars, chewing tobacco, and related products;

28. Traffic devices which includes radar detectors/jammers, license plate covers, traffic signal changers, and related products;

29. Weapons which includes firearms, ammunition, knives, brass knuckles, gun parts, and other armaments;

30. Wholesale currency which includes discounted currencies or currency exchanges;

31. Live animals or hides/skins/teeth, nails and other parts etc. of animals;

32. Multi-Level Marketing collection fees;

33. Matrix sites or sites using a matrix scheme approach;

34. Drop-shipped merchandise;

35. Any product or service which is not in compliance with all applicable laws and regulations whether federal, state, local or international, including the laws of India;

36. The merchants providing services that have the potential of casting the Payment Gateway Facilitators in a poor light and/or that may be prone to Buy & Deny attitude of the cardholders when billed (e.g. Adult material/ Mature content/Escort services/ friend finders) and thus leading to chargeback and fraud losses;

37. Businesses or website that operate within the scope of laws which are not absolutely clear or are ambiguous in nature (e.g. Web-based telephony, Website supplying medicines or controlled substances, website that promise online match-making);

38. Businesses out rightly banned by law (e.g. Betting & Gambling/ publications or content that is likely to be interpreted by the authorities as leading to moral turpitude or decadence or incite caste/communal tensions, lotteries/sweepstakes & games of chance;

39. The merchants who deal in intangible goods/ services (e.g. Software download/ Health/ Beauty Products), and businesses involved in pyramid marketing schemes or get-rich-quick schemes. Any other product or Service, which in the sole opinion of CREDI, is detrimental to the image and interests of CREDI, as communicated by either of them/ both of them to the merchant from time to time. This shall be without prejudice to any other terms & conditions mentioned in these Terms and Conditions;

40. Bulk marketing tools which includes email, lists, software, or other products enabling unsolicited email messages (spam);

41. Web-based telephony/ SMS/Text/Facsimile services or Calling Cards. Bandwidth or Data transfer/ allied services. Voice process /knowledge process services; and

42. Mailing lists

43. Money laundering services.

44. Database providers (for tele-callers).

45. Bidding/Auction houses.

46. Firms promoting business opportunities, investment opportunities and mortgage

B.8. Offers

CREDI may from time to time make available either directly or in partnership with its Commercial Partners, certain benefits for using CREDI Plus. All such offers shall be governed by their terms and conditions displayed on the CREDI App in addition to these CREDI Plus T&Cs. CREDI’s decision of the winner of such offers shall be final and binding and not subject to any appeal or dispute resolution process.

C.5. Cancellation, Returns and Refunds

Orders for goods once placed cannot be cancelled. Orders for travel packages are subject to relevant cancellation policy for each package. CREDI’s general return and refund policy is as set out. Certain products may have differing return / refund terms as set out in the CREDI App.

Section D: Supplemental Terms for CREDI Rewards

The following terms and conditions (“CREDI Rewards T&Cs”) are specific to accessing various offers on the Rewards section on the CREDI App (“CREDI Store”). All Users accessing CREDI Rewards shall be deemed to have read, understood and agreed to be bound by these CREDI Rewards T&Cs.

D.1. Participation in the Rewards Section

a. Rewards may be of various types including but not limited to Mystery Rewards, Jackpot Rewards, Raffle Rewards, Spin the Wheel Rewards, Arcade Rewards, and CREDI Pay offer unlock rewards (‘Reward Promotions’)

b. CREDI awards each User with pre-designated number of loyalty points for their regularly and continuous use of the CREDI App. The Vouchers/rewards awarded to the User are at the sole discretion of CREDI.

c. Users can participate in any Reward Promotion only by using the Vouchers/rewards awarded to them by CREDI.

d. CREDI does not permit any User to purchase any Vouchers/rewards using real world money, to enter the Reward Promotions. None of the reward promotions include betting or wagering of real-world money.

e. Participation in any Reward Promotion is completely voluntary. Users may choose to not participate in any Reward Promotion. CREDI does not guarantee any prize to any winner.

f. Users must not participate in the Reward Promotions if they are specifically prohibited from participating by state, municipal or other local area body laws from participating in such promotions or if such Reward Promotions are not permitted to be offered within such jurisdictions.

D.2. Prizes

a. The prizes for a Reward Promotion may be given by CREDI and /or by CREDI’s Commercial Partners.

b. The Users may be required to create an account / register / sign up etc on a Commercial Partner’s website, app or physical location to avail full benefit of the prizes offered.

c. Some prizes may be available only in specified geographies or for specified time duration.

d. CREDI may at its sole discretion require users to provide PAN, proof of identity and proof of residence before confirming a User as the winner.

e. CREDI may at its discretion require a user to agree to feature in CREDI’s advertisement or promotional / marketing material as a condition for receiving the prize in a Reward Promotion.

D.3. Disclaimers

a. The Reward Promotions are offered to the Users on an “as is” basis and without warranty or condition. The Reward Promotions may not be uninterrupted or error-free. Users waive all claims against CREDI.

b. Selection of the winner by CREDI shall be final, binding and not subject to any dispute settlement procedures.

c. Where the rewards are in the nature of coupons or vouchers, the Users must contact the Commercial Partner offering the coupon or voucher for any customer support or queries.

d. CREDI reserves the right to deactivate or delete the User account, all related information on it, and forfeit all Coins, Vouchers or related prizes from any User, in the event of misuse of the offer, fraud or suspicious transaction/activity on the CREDI App or any other CREDI Platform.

e. CREDI is not responsible for any tax implications on the User from their participation in any Reward Promotion. Users should obtain an independent tax advice before entering any Reward Promotion.

Section E: Supplemental Terms for CREDI Pay for Customers and Merchants

The following terms and conditions (“CREDI Pay T&Cs”) are specific to CREDI Pay, the product from CREDI which allows users to pay on various third-party websites and applications (“Merchant”) using the Users’ cards or other payment instruments saved on the CREDI App. All Users and Merchants using CREDI Pay shall be deemed to have read, understood and agreed to be bound by these CREDI Rewards T&Cs.

E.1. Key attributes of CREDI Pay

a. CREDI Pay allows Users to pay on various websites and applications using the Users’ cards or other payment instruments saved on the CREDI App.

b. CREDI Pay is only a payment instrument selection mechanism and the Merchant remains fully responsible for actual provision and quality of the products or services paid for by the Users.

E.2. Loyalty Points based Offers

a. CREDI may offer certain additional benefits on paying via CREDI Pay including but not limited to cash backs or instant discounts subject to the User utilising his/her CREDI Coins to avail a particular offer.

b. CREDI may introduce, vary and withdraw such offers at its discretion without prior notice to the Users. Different sets of Users may have different offers from time to time.

c. CREDI does not guarantee that any User shall be eligible for any offer or that the benefits offered will be same or similar to all users.

E.4. Customer Support to Customers / Merchants

a. Customers:

(i) In the event of any payment using CREDI Pay having failed or having resulted in amounts being charged to a User’s payment instrument without the transaction being successful, the Users may reach out to CREDI’s customer support through the CREDI App or over email. CREDI (through its Payment Aggregator) shall endeavour to return all wrongly deducted amounts within 21 (twenty-one) days, or such other timelines permitted by applicable law.

(ii) All cancellations, returns, refunds, warranty, concerns, complaints or other customer support requests in relation to the products and services availed from the Merchant must be directed to the Merchant directly. CREDI / Payment Aggregator is not obligated to mediate disputes between Customers and Merchants or between Merchants and any payment system participants.

(iii) In the event that CREDI / Payment Aggregator is notified by any Customer of a queries/ complaints/ issues/ grievances in relation to the products and services of the Merchants, it shall inform the Merchant of the same. The Merchant shall be required to resolve such disputes in accordance with the provisions stipulated in the Merchant Agreement.

b. Merchants:

(i) The Merchant shall abide by and comply with the grievance redressal and dispute management framework of the Payment Aggregator ("Framework”), as notified by the Payment Aggregator to the Merchant from time to time, which includes customer grievances redressal and turnaround time for dispute resolution.

(ii) In terms of the Framework, the Merchants may raise complaints/grievances to the Payment Aggregator in relation to issues such as failure of settlements within the requisite timelines, refund or chargeback related queries, payment status related queries, system uptime/downtime queries, reconciliation related disputes, etc.

(iii) We believe in promptly addressing any queries/ customer support requests that are received by us from our Merchants. Accordingly, our Merchants are encouraged to raise any support request to the appropriate team or person (relationship manager) within the organisation for being addressed, depending upon the classification of such customer/ merchant. We aim to ensure that the relevant team or person (relationship manager) that has established the relationship should continue the relationship in all aspects, and accordingly aim to ensure that such team becomes the first point of contact for all customer support requests.

(iv) Once a complaint has been raised, the Payment Aggregator may seek any additional details while registering a complaint (or at a later stage) which could be relevant for a timely and adequate resolution. Upon registration of the complaint, the Payment Aggregator will issue an acknowledgement within 24 hrs of receiving the complaint, and will also inform the Merchant of the expected TAT / resolution time for the complaint. This may be updated / revised by the Merchant from time to time.



Section G: Supplemental Terms for CREDI Plus – Bill Payment

The following terms and conditions (“CREDI Bill Payment T&Cs”) are specific to the use of the bill payment product introduced by CREDI which allows users to pay bills from various billers (or make pre-paid mobile recharge payments) including but not limited to electricity distribution companies, piped gas distribution companies, broadband companies, telecom companies, insurance companies (“CREDI Bill Payment”). All Users accessing the CREDI Bill Payment screen or using CREDI Bill Payment shall be deemed to have read, understood and agreed to be bound by these CREDI Bill Payment T&Cs.

G.1. Eligibility

CREDI shall make CREDI Bill Payment available to some or all of CREDI Users at its sole discretion. CREDI may also suspend or discontinue offering CREDI Bill Payment for any CREDI Users at its sole discretion.

G.2. Information access, biller data and disclaimers

a. By accessing the CREDI Bill Payment screen or using CREDI Bill Payment, You hereby agree that CREDI may access emails and sms from or regarding billers, bill reminders and bill payment confirmations to identify the billers that You interact with (Relevant Billers), subject to You having enabled email access via CREDI Protect and having granted SMS read permission to the CREDI App. You agree that You may not be able to use CREDI Bill Payment at all or effectively without granting the aforementioned, email access or SMS permissions.

b. You agree that upon Relevant Billers being identified CREDI, CREDI shall from time to time fetch from the Relevant Billers or through BBPS payment system, the bill details and payment status in relation to your account with the Relevant Billers, and CREDI may display such information to You on the CREDI App and/or send You reminders of Your outstanding dues to such Relevant Billers.

c. In the event that You wish to stop receiving updates in relation to a Relevant Biller identified by CREDI, You may archive the said Relevant Biller using the CREDI App. You may also add a new biller not identified automatically by CREDI, by inputting the biller details and your account details using the CREDI App.

d. You understand and acknowledge that while CREDI undertakes best efforts to ensure accuracy of the information displayed on the CREDI App, such information is derived from emails, sms, billers, and other sources which may not be error free. CREDI does not guarantee the accuracy or error free nature of the information displayed as a part of CREDI Bill Payment. CREDI recommends you to double check your bill details before making a payment

e. You understand and acknowledge that CREDI may also use your bureau data to fetch bills details and payment status in accordance with RBI guidelines

G.3. Bill Payments

a. CREDI shall enable You to pay your dues (or additional amounts) to the billers using certain payment instruments. The payment instruments enabled may be changed by CREDI at its sole discretion from time to time based on success rates or any other relevant consideration. CREDI does not guarantee the availability of any particular payment instrument for CREDI Bill Payment.

b. CREDI shall process the payment to the biller only after CREDI has received the payment from your Credit card or other relevant payment instrument. CREDI shall not be responsible for any delay occasioned due to any action or inaction on account of any bank or payment gateway involved in your transaction.

c. You agree to not hold CREDI responsible and/or liable for any issue or claim arising out for any dispute whatsoever between You and the biller, the payment gateway or Your bank.

d. Once a bill payment has been initiated it cannot be reversed.

e. While CREDI undertakes its best efforts to process the payment as directed by you at the earliest, CREDI may delay, suspend, or reject a transaction for any payment(s) for any reason, including without limitation if we suspect the transaction poses a financial or security risk, or is unauthorized, or is fraudulent, suspicious, unlawful or in any way in violation of the applicable laws around such transactions or in violation of these Terms or otherwise unusual in any manner.

f. CREDI may levy service charges for any CREDI Bill Payment transaction. Such service charges if any shall be displayed on the transaction screen prior to the payment being initiated

g. You agree to not hold CREDI liable for delays in bill payment arising from biller's end. CREDI recommends You to pay your bills early to avoid late payment fees, if any, being levied by the biller.

G.4. Indemnification

a. You agree to not hold CREDI responsible and/or liable for any issue or claim arising out for any dispute whatsoever between You and the payment gateway or Your bank or the Counterparty (including but not limited to billers and the BBPS system).

b. You shall keep CREDI indemnified and hold CREDI harmless in the case of any third-party claims against CREDI (whether by the Counterparty, payment gateway, bank, any government authority or any other Person) for the payments made or attempted to be made by You (or any other Person through your account) using CREDI Plus.

G.5. Information Input

a. You are responsible for all the information you input during your use of the CREDI App including the CREDI Bill Payment features. You are responsible for ensuring that all the payment details provided by you are accurate.

b. In particular you are responsible for ensuring the correctness of (i) details of the biller / bill account number; (ii) details of the payment instrument (or selection from the saved payment instrument); and (iii) the amounts of payment. In the event you input any of these details incorrectly or as suggested by CREDI, You will be responsible for the resultant transaction and all charges that result from the same. CREDI may at its own discretion, without having any obligation to do so, assist in reversing such transactions if technically feasible and viable for CREDI.

c. CREDI may ask for additional information if required from time to time including but not limited bill copies etc to verify the underlying transactions, and in case you fail to provide such information then you may be unable to use the CREDI Bill Payment features offered by CREDI. Further, CREDI may ask for additional documents in case a transaction appears to be suspicious. Failure to provide such documentation within 72 hours may result in your transaction failing and at CREDI’s sole discretion, Your access to CREDI Bill Payments being revoked.

G.6. Disclaimers

a. CREDI Bill Payments feature is provided by CREDI through a) aggregators with whom CREDI has a contract or b) through the Bharat Bill Payment Operating Unit (BBPOU) infrastructure where the Biller is registered with NPCI for bill payments. Accordingly, CREDI Bill Payments may be unavailable or settlement delayed in the event of any downtime or issues attributable to CREDI’s partners.

b. Once a payment has been initiated it cannot be reversed and CREDI will not be liable in any way for any loss You suffer as a result of a transaction being carried out in accordance with the instructions issued by You.

c. CREDI shall process the payment only after CREDI has received (i) the payment from your Credit card or other relevant payment instrument; and (ii) any further information requested from You by CREDI. CREDI shall not be responsible for any delay occasioned due to any action or inaction on account of any bank or payment gateway or the counterparty: the biller, the BBPS payment system involved in your transaction.

d. CREDI does not guarantee any timelines for payments to the Counterparties. Any timelines mentioned on the CREDI App or other CREDI Platforms are merely indicative in nature and not to be construed as guarantees.

e. While CREDI undertakes its best efforts to process the payment as directed by you at the earliest, CREDI may delay, suspend, or reject a transaction for any payment(s) for any reason, including without limitation if we suspect the transaction poses a financial or security risk, or is unauthorized, or is fraudulent, suspicious, unlawful or in any way in violation of the applicable laws around such transactions or in violation of these CREDI Bill Payments T&Cs, subject to dispute or otherwise unusual.

f. CREDI recommends You to pay your bills with sufficient gap from the due date and You agree to not hold CREDI liable in case of delay of payment of your bill

G.7. Offers

CREDI may from time to time make available either directly or in partnership with its Commercial Partners, certain benefits for using CREDI Bill Payment. All such offers shall be governed by their terms and conditions as displayed on the CREDI App in addition to these CREDI Bill Payment T&Cs.
